Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SwitchLLM API gateway and related services (the "Service") operated by SwitchLLM ("we", "us"). By creating an account or using the Service you agree to these Terms.

1. The Service

SwitchLLM provides a unified API gateway that routes requests to third-party large language model providers ("Upstream Providers"), including but not limited to DeepSeek, Zhipu AI and Moonshot AI. We provide authentication, request routing, usage metering and billing. We do not develop or own the underlying models.

Output generated by the models is produced by the Upstream Providers and may be inaccurate, incomplete or unsuitable for your purpose. You are responsible for evaluating any output before relying on it.

2. Accounts

• You must provide a valid email address and be at least 18 years old.
• You are responsible for keeping your API keys confidential and for all activity under your account.
• One person or organisation may hold one account. Accounts are not transferable.
• Notify us immediately at [email protected] if you suspect unauthorised use.

3. Acceptable use

You agree not to use the Service to:

• violate any applicable law or regulation, including export control and sanctions laws;
• generate content that sexualises minors, incites violence, or promotes terrorism;
• infringe intellectual property or privacy rights of others;
• develop weapons, conduct unauthorised surveillance, or perform automated decision-making in domains where human review is legally required;
• circumvent rate limits, resell raw access without authorisation, or interfere with the Service's operation;
• submit personal data of third parties without a lawful basis.

We may suspend or terminate accounts that breach this section, with or without notice.

4. Credit, billing and rates

• The Service is prepaid. You purchase credit which is consumed as you make API calls.
• Consumption is calculated from token usage reported by the Upstream Providers, multiplied by the model rate published in your console.
• Rates may change. We will publish changes in the console at least 7 days before they take effect. Credit already purchased is not re-priced.
• Credit does not expire and is not transferable between accounts.
• Requests that fail due to our error are not billed.

5. Availability

We target high availability but do not guarantee uninterrupted service. The Service depends on third-party Upstream Providers whose availability is outside our control. We are not liable for losses caused by upstream outages, rate limiting or model deprecation.

6. Intellectual property

You retain all rights to the inputs you submit and, to the extent permitted by the Upstream Providers' terms, to the outputs you receive. You grant us a limited licence to transmit and process your inputs solely to provide the Service. We retain all rights to the Service itself, including its software, documentation and branding.

7. Privacy

Our handling of personal data is described in our Privacy Policy. In short: we store your email, hashed credentials, billing records and request metadata (timestamps, model, token counts). We do not store the content of your prompts or completions beyond transient processing.

8. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that output will be accurate, that the Service will be error-free, or that any model will remain available.

9. Limitation of liability

To the maximum extent permitted by law, our total liability arising from or relating to the Service is limited to the amount you paid us in the 3 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill.

10. Termination

You may close your account at any time. We may suspend or terminate your access for material breach of these Terms, for fraud, or where required by law. On termination, unused credit is refunded per our Refund Policy, except where termination resulted from your breach.

11. Changes to these Terms

We may update these Terms. Material changes will be notified by email or in the console at least 14 days before they take effect. Continued use after that date constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
